Notifying us of a change to your company's directors or shareholders
Why you need to tell us promptly, what we need from you and what we do with this information
Changes to directors or shareholders are company law matters with filing obligations at Companies House. Notify us as soon as you know a change is planned.
Why you need to tell us promptly
- A new director appointment must be filed at Companies House within 14 days
- A director resignation must also be notified to Companies House promptly
- Changes in shareholding may affect dividend allocation and require a new share certificate
- A new director receiving a salary needs to be added to payroll before their first pay date
What we need from you
- For a new director: full name, date of birth, home address, nationality, and the date of appointment.
- For a director resignation: the director's name and the effective date.
- For a new shareholder: their details and the number and class of shares being transferred or issued.
What we do
We liaise directly with our Company Secretarial Team to action your requested changes and organise the necessary filings with Companies House. If anything you need will attract an additional fee (such as a Companies House filing fee), we will let you know beforehand and obtain your approval before making the filing on your behalf.
💡 Good to know: Missing a Companies House filing deadline for a director change can result in a fine and a note on the public register. Tell us about planned changes as early as possible so we have time to file correctly.
