What happens if you miss a Companies House deadline

The penalties that occur if you miss Companies House deadlines

Companies House applies automatic penalties for late accounts filing.

The penalty rates

  • Up to one month late: £150
  • One to three months late: £375
  • Three to six months late: £750
  • More than six months late: £1,500

These penalties double if the same company files late in two consecutive years. They cannot be appealed simply because the accounts were nearly ready.

In serious cases

Persistent non-filing can lead Companies House to strike off the company. Once struck off, the company ceases to exist as a legal entity and its assets transfer to the Crown. Reinstatement is possible but expensive and time-consuming.

💡 Good to know: The most common cause of late Companies House filing is delayed sign-off from the director. We aim to file well in advance of the deadline. Responding to our review requests promptly is the most reliable way to ensure we never miss it.
