Appointing or Resigning a Director
Simple steps for adding or removing company directors in compliance with UK rules.
A company director is responsible for managing the business and ensuring it meets its legal obligations. If your company changes, you may need to appoint or remove a director. All updates must be reported to Companies House and kept accurate in your company records.
What is a director?
A director runs the company on behalf of shareholders, making key decisions and ensuring legal compliance. Every limited company must have at least one director who is an individual.
How to add a director
To appoint a director, you must:
- Confirm they are eligible (not disqualified and over 18)
- Confirm they agree to act as a director
- Update your internal company records
- Notify Companies House of the appointment
How to remove a director
Firstly, the resigning director must submit a letter of resignation. Then, you must:
- Update your internal company records
- Update statutory company records
- Notify Companies House of the termination
Important
- A company must always have at least one director at all times

This means that if the company only has one director who wishes to resign, a new director must be appointed first.
