Changing your company’s name is a straightforward process, but it must follow the correct legal steps to ensure the update is valid and properly recorded.

How to Change Your Company Name

To change your company name, you’ll need to:

  1. Choose a new name
    1. Check that the name is available for registration
    2. Ensure the proposed name complies with naming rules (e.g. not too similar to an existing company)
    3. Confirm it does not include restricted or sensitive words without approval
      1. Refer to Annex A, Annex B, and Annex C to check for sensitive words
  2. Pass a resolution

    Shareholders must approve the name change, usually by passing a special resolution requiring at least 75% approval.
  3. File with Companies House

    Submit the name change using the appropriate form. The change only becomes official once it is registered.

When Does the Change Take Effect?

Your new company name is only legally effective once Companies House has approved and registered the change. You will then receive a Certificate of Incorporation on Change of Name as confirmation.

What to Do After the Change

Once your name has been updated, you should update your company records and notify relevant parties, including your bank, clients, suppliers, and HMRC. You should also update your website, stationery, and any legal documents.

Will my certificate of incorporation change?

No. Your original Certificate of Incorporation remains the same. You will receive a separate certificate confirming the name change.

Can I close my company as soon as I change the name?

No. You must wait at least 3 months after the name change before closing the company.

Can someone else use my old company name?

Yes. Once the name change is registered, your previous company name is no longer protected and may be used by another business.

Things to Keep in Mind

Your Company Registration Number (CRN) always stays the same—only the name changes. You must display the new name on official documents, and it’s a good idea to check for any potential trademark conflicts before making the change.
